The MSDN special offer gets you a license to convert a single Visual Basic application with up to 10,000 lines of code to VB.NET or C#. Lines of code (LOC) counted don't include comments or blank lines.  If your application is more than 10k LOC, or if you have more than one application (executable), you will need to purchase an additional license.
